03 Common Mistakes When Buying Slack That Bring Tax “Disasters” to Businesses

Xem nhanh

How Are Vietnamese Businesses Purchasing Slack Today?

In practice, many small and medium-sized businesses currently purchase Slack plans (Pro, Business+) directly through the Slack website using personal or corporate credit cards. This approach is convenient and allows accounts to be activated immediately.

However, it creates three major tax-related issues that many accountants may not fully recognize.

The problem is not whether you paid for Slack, but how you paid for it and the tax obligations that arise immediately after the transaction. Many businesses are unintentionally overlooking these regulations and exposing themselves to significant financial risks.

This article examines those three common mistakes in detail, supported by real-world figures and specific legal references.

I. Three Common Mistakes Businesses Make When Purchasing Slack

Mistake #1: Receiving a Slack Invoice and Assuming It Is a Valid Tax Invoice

When you upgrade Slack, you receive an invoice in USD from Slack’s parent company located overseas. The document appears professional, containing your company name, payment amount, and subscription period.

However, it is NOT a Value Added Tax (VAT) invoice recognized under Vietnamese regulations.

According to Article 14 of Circular 219/2013/TT-BTC issued by the Ministry of Finance, businesses may only claim input VAT deductions when they possess a valid VAT invoice issued by the seller. A foreign invoice, regardless of how complete it appears, does not satisfy this requirement.

As a result, if your company spends VND 500 million per year on Slack without obtaining a Vietnamese VAT invoice, you are effectively losing VND 50 million in deductible input VAT.

Many accountants overlook this issue because they assume it will not be scrutinized. In reality, during tax audits, this is often one of the first expenses disallowed by tax authorities.

Mistake #2: Paying Slack but Forgetting to Declare Foreign Contractor Tax

This is the most serious legal risk.

Many companies with professional accounting teams still make this mistake because they are unfamiliar with foreign contractor tax regulations applicable to SaaS software.

From a legal perspective, Slack is considered a foreign contractor. Under Circular 103/2014/TT-BTC, when a Vietnamese organization makes payments to a foreign entity that does not have a permanent establishment in Vietnam, the transaction creates foreign contractor tax obligations.

The responsibility for paying this tax belongs to the buyer (your company), not the seller (Slack).

Income derived from granting usage rights to technology-based platforms such as Slack is generally classified as royalty income (according to Official Letter No. 4035/CTHN-TTHT dated February 7, 2023).

The applicable tax rates are:

  • Corporate Income Tax (CIT): 10% of taxable revenue.
  • VAT: 5% of taxable revenue (unless exempt from VAT).

Example Calculation

DescriptionEstimated Amount
Annual Slack SubscriptionVND 500,000,000
CIT Payable on Behalf of Foreign Contractor (10%)VND 50,000,000
VAT Payable on Behalf of Foreign Contractor (5%)VND 25,000,000
Total Foreign Contractor Tax LiabilityVND 75,000,000

That VND 75 million tax obligation arises the moment you swipe your credit card—yet most businesses have never filed the corresponding declaration.

If authorities determine that taxes were underreported or omitted, the business may face:

  • A penalty equal to 20% of the underpaid tax amount.
  • Late payment interest of 0.03% per day.

Mistake #3: Incorrect Accounting Treatment Leading to Disallowed Expenses During Corporate Tax Finalization

Assume your accounting team has done everything correctly and fully declared and paid foreign contractor tax.

The risk still remains.

According to Article 4 of Circular 96/2015/TT-BTC, deductible expenses for Corporate Income Tax purposes must be supported by valid invoices and legal documentation.

As discussed in Mistake #1, a Slack invoice generated from the website is not considered a legally valid invoice in Vietnam.

Financial Consequence

The entire VND 500 million Slack expense may be disallowed as a deductible business expense.

With a corporate income tax rate of 20%, the company could be required to pay an additional VND 100 million in Corporate Income Tax on the disallowed expense amount.

II. Solutions

1. Outsource Slack Payments Through Nimbus Consulting

Do not let a productivity tool become a headache for your accounting department.

The simplest, most compliant, and most cost-effective solution is to purchase Slack through Nimbus Consulting.

How It Works

As a payment intermediary partner for international SaaS services, Nimbus handles the entire process for you:

  • Receive a valid 10% Vietnamese VAT invoice immediately.
  • Claim input VAT deductions without issue.
  • Eliminate foreign contractor tax obligations because the transaction becomes a domestic transaction between two Vietnamese legal entities.
  • Ensure 100% tax-deductible expenses for Corporate Income Tax purposes.
  • Pay in VND via bank transfer without worrying about credit card limits or foreign exchange fluctuations.

In essence, you continue using your existing Slack workspace without any technical interruption.

The only difference is that the legal and tax aspects of the payment flow are fully protected.

Migration Process Through Nimbus

We not only provide transparent payment services and VAT invoices but also support the entire workspace migration process.

Step 1: Sign the Agreement & Pay for the New Workspace

The business signs a contract directly with Nimbus Consulting.

We issue a valid VAT invoice, completely resolving accounting and tax concerns.

A new workspace is then provisioned and made ready for use.

The process combines Slack’s official export tools with manual verification procedures to ensure that no messages or files are overlooked.

Step 3: Import Data & Conduct System Testing

The data is migrated intact into the new workspace.

We perform comprehensive testing to verify:

  • Channel structures
  • Attached files

2. What If You Have Already Paid Using a Credit Card?

There is no need to panic.

Below is a recommended remediation roadmap:

Review Past Payments

Identify all subscription periods that were paid via credit card and determine the amount of foreign contractor tax that has not yet been declared.

File Supplementary Tax Declarations

Proactively submit amended foreign contractor tax filings before any tax audit is initiated.

Doing so can significantly reduce penalties.

Strengthen Documentation

Gather all supporting documents, including:

  • Contracts
  • Internal company policies
  • Payment records
  • Bank transaction evidence

These documents help support Corporate Income Tax deductions.

Transition Future Renewals

Contact Nimbus for future renewals or additional license purchases to eliminate ongoing tax risks.

If your company is currently using Slack and you are unsure whether your tax documentation is compliant, the Nimbus team is available to review your situation and provide migration guidance free of charge, ensuring uninterrupted business operations.

III. Comparison: Buying Slack Directly vs. Through Nimbus Consulting

The table below compares the two approaches based on key business considerations.

CriteriaPurchase Directly from SlackPurchase Through Nimbus Consulting
InvoiceForeign invoice (Ireland)Vietnamese electronic VAT invoice (10%)
VAT DeductionNot deductibleFully deductible
Foreign Contractor TaxMust self-declare and pay (5–10%)No obligation
Actual Cost (100 Users)Approximately 10–15% higherApproximately 10–15% savings

Salesforce IntegrationBasicDeep integration capabilities (as a Salesforce partner)
Contract & PaymentInternational credit card paymentsVietnamese contract and local bank transfer
True-Up ChargesAdditional charges when user count increasesNo additional user charges during the first year

IV. Conclusion

Paying for Slack directly through Slack.com using a credit card may be operationally convenient, but it can create significant tax risks if legal obligations are not handled correctly.

The three most common mistakes are:

  • Mistaking an international invoice for a valid Vietnamese VAT invoice.
  • Failing to declare foreign contractor tax.
  • Failing to satisfy documentation requirements for deductible Corporate Income Tax expenses.

As tax enforcement becomes increasingly stringent, establishing a compliant payment process for international SaaS services is no longer just an accounting issue—it is a long-term financial protection strategy.
